Corporate Governance

Corporate Governance describes the methods employed by a board of directors to ensure that a company has in place a system for insuring that it can implement an agreed set of values.  In a modern company that normally means transparency, accountability and protecting the interests of ‘stakeholders’.

We help clients understand how a company functions and the relationship between shareholders, managers, employees, creditors, regulators and other interested parties.  We advise upon regulatory compliance as well as internal matters such as directors’ duties, shareholders’ rights, share capital issues, shareholders’ agreements, company articles, partnership agreements and related matters.
